This Subscription Policy constitutes a legal agreement between Meta Flow Ltd. (d/b/a Lumen) and its subsidiaries (collectively, “Lumen”, “Company”, “we”, "us" or “our”) and you, the user of the Lumen Device and Lumen App ("User" or "you"). This Subscription Policy governs all Subscriptions offered by the Company and is subject to the Lumen Terms of Use available at https://www.lumen.me/terms-of-use ("Terms of Use"), which is incorporated herein by reference. Capitalized terms used but not defined herein shall have the same meaning given to them in the Terms of Use.
By purchasing a Subscription, you acknowledge and agree to this Subscription Policy.
This Subscription Policy should be read carefully. To the extent this Subscription Policy conflicts with the Terms of Use, this Subscription Policy shall take precedence solely with respect to its subject matter, namely, Subscriptions, Add-Ons, billing, renewal, cancellation, and Trials or Special Offers.
We reserve the right to amend or revise this Subscription Policy periodically, at our discretion. Any such amendments will become effective as of the "Last Updated" date indicated at the top of this Subscription Policy. If, at our discretion, the changes are material or required by law, we will make a reasonable effort to provide written notice through your Lumen App Account, or by sending an email to the address associated with your Account. We recommend that you review this Subscription Policy periodically, as your continued use of the Lumen Device, Lumen App, and the Services after the "Last Updated" date will constitute your acceptance of, and agreement to be bound by, those changes.
1. Subscription Plans, Fees, and Term
The terms of your Subscription depend on the subscription plan you select (including any change, switch, upgrade or downgrade), which determines the fees payable by you for the access and use of the Services and can be purchased through our Website. Your selected Subscription plan will also specify, as applicable: (a) the initial term of your Subscription (“Initial Subscription Term”), (b) the term of any automatic renewals (“Renewal Term(s)”) and (c) the number of permitted Users under your Account, if relevant. The Initial Subscription Term and each Renewal Term billing cycles are typically one (1) month, three (3) months, six (6) months, or twelve (12) months, as displayed on our Website at checkout or in the Lumen App. Fees, pricing, plan features, and availability may vary by geography, platform (web, iOS, Android), and any promotional offer, and all applicable taxes, duties, levies, and similar governmental assessments may be added where required by law.
2. Activation and Automatic Renewals
Your Subscription becomes effective upon the earlier of: (a) ten (10) days following the date of purchase of your Subscription; (b) the date of activation of the Subscription through the Lumen App; or (c) the date and time otherwise specified to you at checkout, in your order confirmation, or within the Lumen App ("Subscription Effective Date"). Your Subscription will remain in effect for the entire Initial Subscription Term and will thereafter automatically renew for additional, successive Renewal Terms at the then-current price and term length disclosed to you at checkout and/or in the Lumen App, unless you cancel in accordance with this Subscription Policy.
3. Duo Subscription
The Lumen duo subscription allows two (2) Users to access the Services under one Subscription: a primary User and one additional User (“Duo Subscription”). The primary User activates the Duo Subscription by providing payment details and paying the price disclosed and is responsible for all payments, cancellations, and plan management. If a primary User activates a Duo Subscription during an Initial Subscription Term or then-current Renewal Term, the Duo Subscription will be pro-rated depending on the length of time remaining in the then-current Subscription term. The primary User will be charged the full rate of the Duo Subscription upon the commencement of the next Renewal Term of the primary User’s Subscription. The secondary/subsidiary User must create a separate Account, agree to the Terms of Use, and review all Lumen Device documentation before using the Lumen Device. The secondary/subsidiary User's access and entitlements are subject to, and may be limited by, the primary User's Subscription status and payment obligations, including, without limitation, any cancellations or suspensions. Both Users must use the same Lumen Device, and the Duo Subscription is not intended for use by more than two individuals. By using a Duo Subscription, you acknowledge that more than one User may use the same Lumen Device and agree to follow proper hygiene and safety practices (including wiping and disinfecting the Lumen Device between uses) and to comply with all warnings and instructions. Each User under the Duo Subscription is responsible for maintaining the confidentiality of its Account login credentials, and for their own Account activity.
4. Add-Ons
Users may purchase membership add-ons either at the time of initial purchase or post-purchase (“Add-Ons”). Add-Ons may be either “one-time” or “recurring,” as disclosed to you at checkout on our Website or in the Lumen App. One-time Add-Ons have a fixed duration (e.g., three months) disclosed upon checkout; they expire once the duration concludes, and you must purchase a new Add-On if you wish to continue using it. Recurring Add-Ons activate upon purchase (or on another date disclosed to you) and renew automatically at the billing cycles disclosed at purchase (for example, monthly) until cancelled. Add-Ons are managed independently of your Subscription, and adding or cancelling an Add-On should not, by itself, cancel your Subscription; however, certain Add-Ons may require an active Subscription and may automatically end if your Subscription ends, as disclosed at purchase. Additional terms, including billing frequency, renewal, cancellation mechanics, and proration (if any), will be disclosed at the time of purchase and are incorporated into these Subscription Policy by reference.
5. Billing and Taxes
For purposes of this Subscription Policy, “Fees” means all amounts payable by you in connection with the Services, including, fees for Subscriptions, Add-Ons, Duo Subscription, Trials or Special Offers (if any) and any other fees or amounts charged in connection with the Services.
You may pay the Fees by credit card or other payment methods made available on our Website. Fees are processed by third-party payment processors (e.g., PayPal, Stripe) and in accordance with such processors terms and privacy policies. Lumen does not approve or reject payments and is not responsible or liable for any activities or conduct of third-party payment processors. You must provide accurate and complete billing information and maintain a valid payment method. You authorize us (through our third-party payment processors) to charge your selected payment method for all Fees, applicable taxes, and other amounts disclosed at checkout, including on a recurring basis for automatic renewals for each Renewal Term and any applicable Add-Ons. If your payment method fails, we may suspend or terminate your Subscription and access to the Services until payment is received. Taxes may be calculated based on the information you provide and the applicable tax rate at the time of charge.
You are solely responsible for the payment of any and all taxes, levies, duties, or similar governmental assessments of any nature, including but not limited to VAT, sales or use, that are imposed by any jurisdiction in connection with any and all Fees.
6. Changes to Plans
During the term of your Subscription, we may allow you to change, modify, switch, upgrade or downgrade your Subscription plan in accordance with our then-current offerings, subject to availability and our confirmation. In the event of any such change, the effective date and time (whether immediately or at the conclusion of the current Subscription term) will be displayed to you in the Lumen App or at checkout, prior to your order confirmation, as well as any applicable proration, credits, or additional charges.
7. Changes to Fees
We reserve the right to change any or all of the Subscriptions or Add-On fees (including, without limitation, by way of canceling any Trials or Special Offers), where such change will only apply to each renewal or any new purchase of Subscription or Add-Ons. In the event of such a fee change, we will notify you prior to the renewal of your Subscription or Add-On, including by sending an email to the address associated with your Account, written notice through the Lumen App, or other reasonable means. If you do not agree to any fee change, you may cancel your Subscription or recurring Add-On before the fee change takes effect.
8. Cancellation
You may cancel your Subscription at any time. To avoid being charged for the next Renewal Term, you must cancel at least twenty-four (24) hours before the end of the then-current term (or such longer period as required by applicable law). Cancellation instructions will be provided in the Lumen App and/or on our Website. You may also contact us at support@lumen.me for assistance. Unless otherwise required by applicable law, cancellation stops future renewals and your Subscription will remain active and accessible until the expiration of the then-current paid Subscription term or any applicable Renewal Term. Subscription cancellation is not automatically eligible for a refund, and a refund will only be issued in accordance with any applicable law.
Please note that uninstalling the Lumen App does not automatically cancel your Subscription.
9. Effect of Cancellation or Non-Renewal
If you cancel or do not renew your Subscription, or if your Subscription becomes inactive (for example, due to non-payment), you may lose access to some or all of the Services and the Lumen App features, including any content and data therein. Unsubscribed Users who purchased their Lumen Device following July 30, 2023 may still have limited access to certain functionality as specified in the Lumen App (real-time metabolic measurements using the Lumen Device), unless the device has been returned or refunded, your access has been suspended, or the feature availability changes as disclosed in the Terms of Use.
10. Refunds
Except where required by applicable law, all Fees are non-refundable once paid, and no refund will be provided for any partial Subscription periods or unused Services, even if you choose to cancel before the end of the current Subscription term.
Subscription and Add-On fees are separate from any purchase or shipment of a Lumen Device or any other physical goods offered by Lumen. Refunds (if any) for purchases of the Lumen Device or other physical goods are governed exclusively by the applicable Refund and Return Policy, available at https://www.lumen.me/terms-of-use#refund. For the avoidance of doubt, any refund or return of the Lumen Device pursuant to such policy will result in the automatic cancellation of your Subscription. Furthermore, the cancellation of a Subscription does not, in itself, entitle you to the return of, or a refund for, the Lumen Device or any other physical goods offered by Lumen.
11. Trials and Special Offers (if any)
Trials. From time to time, we may offer trials of Subscriptions for a specified period, either free of charge or at a reduced rate (each, a "Trial"). Each Trial is made available in connection with a Subscription. If you are eligible for a Trial and choose to utilize such an offer, your Trial period will begin at the date and time disclosed to you at checkout, in your order confirmation, or in the Lumen App.
We reserve the right to modify or terminate Trial offers at any time and for any reason. We recommend checking the subscription offers in the Lumen App or Website (as applicable) before purchasing a Subscription. Upon conclusion of your Trial period, you will automatically be charged for your Subscription, unless you cancel at least 24 hours prior to such renewal.
If you cancel during a Trial, your access to the Services may end immediately or at the expiration of the Trial period, all in accordance with the Trial terms disclosed to you at checkout, in your order confirmation, or in the Lumen App.
Special Offers. From time to time, Lumen may make certain special offers, promotions and programs available to you in connection with the Services (“Special Offers”). The applicable terms, conditions, eligibility requirements, limitations, and any material restrictions of each Special Offer (including duration, redemption requirements, subscription or auto-renewal implications, and any exclusions) will be disclosed in the offer materials or at checkout and are incorporated herein by reference. Special Offers are effective solely during the applicable Special Offers period (“Offer Period”) and will terminate automatically thereafter without further notice; provided that, unless otherwise expressly stated in the applicable offer terms or required by law, termination or withdrawal will not retroactively affect discounts properly applied to, or benefits earned in connection with, a qualifying transaction completed during the Offer Period. Special Offers not expressly limited by an Offer Period shall remain effective until otherwise withdrawn by Lumen. We reserve the right to modify or terminate Special Offer at any time and for any reason. For the avoidance of doubt, sweepstakes, contests, and similar promotions (if any) may be governed by separate official rules disclosed in connection with the promotion.
12. Suspension and Termination
We may suspend or terminate your Subscription, Add-Ons, Trial, and/or any Special Offer, with notice where required by law, if: (a) your payment is overdue or reversed, (b) we reasonably suspect fraud or unauthorized payment activity, (c) you materially breach the Terms of Use, or (d) required for legal, regulatory, or security reasons. In such cases, we may deny further access, and you remain responsible for any unpaid Fees for the period during which access was provided.
13. EEA Consumer Information
Upon activation of a Subscription, you become a subscriber of the Lumen App and receive immediate access to the Services. By doing so, you acknowledge and agree that you forfeit your statutory right of withdrawal, in accordance with the applicable laws of the European Economic Area, and you expressly waive this right by accepting our Terms of Use. Consequently, you will not be eligible for a refund based on a statutory right of withdrawal.
